Acceptable Use Policy

This Acceptable Use Policy ("AUP") governs the rules for using the Numera software platform provided by Numera doo ("Service Provider" or "Provider"). By using the service, the User agrees to comply with this Policy.
1. Purpose of the Policy
The purpose of this Acceptable Use Policy is to:
- ensure safe and lawful use of the service,
- prevent misuse and disruption of the system,
- protect other users, data, and the Provider's infrastructure.
2. Permitted Use
The User may use the service solely for lawful business purposes and in accordance with:
- applicable laws and regulations,
- the Master Subscription Agreement (MSA),
- the Commercial Agreement (Order Form),
- the Data Processing Agreement (DPA),
- this Acceptable Use Policy (AUP).
3. Prohibited Use
The User may not, directly or indirectly:
3.1 Illegal Activities
- use the service for activities contrary to the laws of the Republic of North Macedonia or the EU,
- process personal data without a legal basis,
- store or distribute unlawful content.
3.2 Security Violations
- gain unauthorized access to systems, accounts, or data,
- attempt to bypass authentication or security measures,
- perform scanning, penetration testing, or security testing without written consent,
- use third-party integrations for unlawful data sharing.
3.3 Abuse of Resources
- overload the infrastructure with automated requests,
- use scripts, bots, or mass-processing activities that affect performance,
- use the service as a hosting or proxy service.
3.4 Harmful Content
- upload or introduce malicious software,
- distribute viruses, ransomware, spyware, or similar threats,
- upload content that may damage the system.
3.5 Violation of Rights
- infringe intellectual property rights,
- upload documents without proper rights or authorization,
- process data belonging to third parties without authorization.
3.6 Resale and Access Misuse
- resell or transfer the service without authorization,
- share user accounts,
- allow unauthorized persons to use access credentials.
4. User Content
The User is solely responsible for:
- the accuracy,
- legality,
- and content of the data entered into the system.
The Provider does not monitor or control content unless necessary:
- for technical support,
- for security purposes,
- or upon legal request.
5. Monitoring and Enforcement
The Provider has the right to:
- monitor technical parameters,
- analyze logs for security purposes.
The Provider does not perform general monitoring of the User's business data.
6. Measures in Case of Violation
In the event of a violation of this Policy, the Provider may, at its sole discretion:
- issue a warning,
- temporarily suspend access,
- restrict certain functionalities,
- terminate the agreement in accordance with the MSA,
- take legal action if necessary.
Where possible, the User will be notified in advance.
7. Responsibility
The User is responsible for:
- all activities performed through their accounts,
- the actions of their users and employees.
The Provider is not liable for damages caused by improper use.
8. Changes to the Policy
The Provider reserves the right to amend this Policy through:
- prior notice (where reasonable),
- publication within the application or on the official website.
9. Governing Law and Jurisdiction
This Policy is governed by the laws of the Republic of North Macedonia.
